Terms of Use

These Terms of Use ("Terms") govern your access to and use of CrosswindFinance, including our website, applications, software, features, reports, and related services (collectively, the "Service").
By accessing or using the Service, creating an account, creating or joining an organization, or otherwise using CrosswindFinance, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
1. The CrosswindFinance Service
CrosswindFinance is software designed to help individuals and organizations organize and manage financial information. Depending on the features available under your plan, the Service may allow users to create budgets, maintain financial accounts, categorize transactions, import financial data, track income and expenses, generate reports, and perform related financial-management activities.
CrosswindFinance provides software tools only.
CrosswindFinance is not a bank, credit union, accounting firm, tax preparation service, investment adviser, broker-dealer, financial planner, law firm, or other professional financial institution or adviser.
Use of CrosswindFinance does not create an accountant-client, financial adviser-client, attorney-client, fiduciary, or similar professional relationship.
2. No Financial, Accounting, Tax, Investment, or Legal Advice
Information, calculations, reports, projections, classifications, summaries, and other material produced by the Service are provided for informational and organizational purposes.
They are not financial, accounting, tax, investment, legal, or other professional advice.
You are responsible for determining whether information generated through CrosswindFinance is appropriate for your circumstances and for independently verifying information before relying upon it for tax filings, financial statements, regulatory filings, investment decisions, loan applications, audits, or other material financial decisions.
You should consult qualified professionals when professional advice is required.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.
If you use CrosswindFinance on behalf of a business, nonprofit organization, church, association, or other entity, you represent that you have authority to act on behalf of that organization.
4. Accounts and Account Security
Some portions of the Service require an account.
You agree to provide accurate information when creating and maintaining your account and to keep your account information reasonably current.
You are responsible for safeguarding your login credentials and for activity occurring through your account to the extent permitted by applicable law.
You must not knowingly share credentials in a manner that circumvents account, user, seat, or subscription restrictions.
You agree to promptly notify CrosswindFinance if you reasonably believe your account has been accessed or used without authorization.
5. Organizations, Owners, Administrators, and Users
CrosswindFinance may allow multiple users to participate in an organization or tenant account.
Organization Owners and Administrators may have authority to invite or remove users, assign permissions, configure organization settings, manage subscription information, and access organization data.
If you join an organization account, your access to that organization and its information may be controlled by the organization's authorized Owners or Administrators.
The organization is responsible for determining which individuals should have access to its information and what permissions they should receive.
Removal from an organization may terminate your ability to access information belonging to that organization.
6. Customer Data
You retain ownership of financial records, transactions, uploaded files, account information, reports, categories, budgets, and other data that you or your authorized users submit to the Service ("Customer Data").
You grant CrosswindFinance a limited right to host, copy, process, transmit, display, and otherwise use Customer Data only as reasonably necessary to operate, secure, maintain, support, and improve the Service and as otherwise described in our Privacy Policy.
You represent that you have the rights and permissions necessary to provide Customer Data to CrosswindFinance and to authorize its processing through the Service.
You are responsible for the accuracy, legality, and completeness of Customer Data.
7. Imported and Third-Party Data
CrosswindFinance may permit information to be entered manually or imported from files, accounting systems, financial institutions, payment systems, or other third-party sources.
You are responsible for reviewing imported information for accuracy.
CrosswindFinance does not guarantee that imported data will be complete, current, correctly categorized, or free from errors.
Changes made by third-party services, file formats, APIs, financial institutions, accounting systems, or other external providers may affect the availability or accuracy of integrations and imports.
CrosswindFinance is not responsible for errors originating from third-party information or systems outside our control.
8. Financial Reports and Calculations
Reports and calculations generated through CrosswindFinance depend upon the information supplied to the Service.
Incorrect, incomplete, duplicated, improperly categorized, or outdated Customer Data may result in incorrect reports or calculations.
You are responsible for reviewing reports before relying upon them.
CrosswindFinance does not guarantee that any report satisfies generally accepted accounting principles, tax requirements, governmental filing requirements, nonprofit reporting requirements, lending requirements, audit standards, or other professional or regulatory standards unless CrosswindFinance expressly states otherwise in writing.
9. Subscription Plans and Fees
CrosswindFinance may offer free, trial, and paid subscription plans.
The features, user limits, storage limits, pricing, billing interval, and other terms applicable to a subscription will be disclosed when the subscription is selected or purchased.
By purchasing a paid subscription, you authorize CrosswindFinance and its payment processor to charge the payment method you provide for the charges that are clearly disclosed to you during enrollment.
Unless otherwise disclosed when you subscribe, paid subscriptions may renew automatically for successive billing periods until canceled.
You may cancel a subscription using the cancellation options made available through the Service or through other methods CrosswindFinance expressly provides.
Unless otherwise disclosed or required by applicable law, cancellation takes effect at the end of the then-current paid billing period.
Fees already paid are generally non-refundable except where CrosswindFinance expressly provides otherwise or applicable law requires a refund.
CrosswindFinance may change subscription prices or plan features from time to time. When required, reasonable advance notice will be provided before a price change applies to an existing paid subscription.
Taxes imposed on a purchase may be added where required.
10. Free Trials and Promotional Offers
CrosswindFinance may occasionally offer free trials or promotional subscription terms.
The duration of a trial, features included, pricing following the trial, and any automatic conversion to a paid subscription will be disclosed when the trial is offered.
A trial will not be converted into a paid subscription through recurring charges unless the applicable payment and renewal terms were disclosed and the customer provided the authorization required by applicable law.
CrosswindFinance may modify or discontinue promotional offers at any time, subject to commitments already made to participating customers and applicable law.
11. Payment Processing
Payments may be processed by third-party payment processors.
Your use of a third-party payment processor may also be governed by that provider's terms and privacy practices.
CrosswindFinance does not control the operation of third-party payment networks, banks, or card issuers and is not responsible for outages, processing delays, declined transactions, or other events caused by those third parties.
12. Acceptable Use
You may not use the Service to:
- violate applicable law or regulation;
- infringe or violate another person's intellectual-property, privacy, or other legal rights;
- gain or attempt to gain unauthorized access to another account, organization, system, or network;
- circumvent authentication, authorization, tenant-isolation, subscription, or security controls;
- distribute malware, malicious code, or harmful content;
- interfere with or disrupt the operation or security of the Service;
- probe, scan, or test the vulnerability of the Service without authorization;
- use automated systems in a manner that materially burdens or disrupts the Service;
- impersonate another person or misrepresent your authority;
- use the Service to store or process information that you do not have authority to possess or process;
- resell, sublicense, or commercially redistribute the Service except under a written agreement permitting that activity; or
- reverse engineer or attempt to derive source code from the Service except to the extent such restrictions are prohibited by applicable law.
13. Security
CrosswindFinance uses administrative, technical, and organizational measures intended to protect the Service and Customer Data.
No internet-connected service can guarantee absolute security.
You are responsible for using reasonable security practices, including protecting passwords, controlling user access, maintaining secure devices, and promptly removing access for people who should no longer have access to your organization.
Security and privacy practices are further described in the CrosswindFinance Privacy Policy.
14. Data Retention and Backups
CrosswindFinance is intended to assist with financial organization, but you should not rely upon the Service as the sole permanent repository for records you are legally or operationally required to retain.
You are responsible for maintaining independent copies of important financial, accounting, tax, compliance, or business records when appropriate.
Data may be retained, archived, backed up, or deleted in accordance with the Privacy Policy, operational requirements, legal requirements, and applicable subscription terms.
CrosswindFinance does not guarantee that deleted information can be recovered.
15. Intellectual Property
The Service, including its software, design, interfaces, branding, documentation, graphics, and other materials provided by CrosswindFinance, is owned by or licensed to CrosswindFinance and is protected by applicable intellectual-property laws.
These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose during the period you are authorized to access it.
These Terms do not transfer ownership of the Service or CrosswindFinance intellectual property to you.
"CrosswindFinance" and associated names, logos, and branding may not be used in a manner that suggests sponsorship, endorsement, or affiliation without permission.
16. Feedback
If you voluntarily provide suggestions, ideas, feature requests, or other feedback regarding CrosswindFinance, you authorize CrosswindFinance to use that feedback without restriction or compensation to you.
This provision does not transfer ownership of your Customer Data.
17. Third-Party Services and Links
The Service may contain links to or integrations with third-party websites, software, products, or services.
CrosswindFinance does not control third-party services and is not responsible for their availability, content, security, privacy practices, accuracy, or performance.
Your use of third-party services is governed by the terms and policies of those providers.
18. Service Availability and Changes
We work to maintain reliable access to CrosswindFinance, but uninterrupted availability is not guaranteed.
The Service may occasionally be unavailable because of maintenance, upgrades, security events, infrastructure failures, third-party service failures, internet outages, or circumstances outside our reasonable control.
CrosswindFinance may add, modify, replace, or discontinue features as the Service evolves.
Unless a separate written service-level agreement expressly provides otherwise, these Terms do not guarantee any particular uptime, availability percentage, response time, or service level.
19. Suspension and Termination
You may stop using CrosswindFinance at any time.
CrosswindFinance may suspend or restrict access when reasonably necessary to:
- protect the security or integrity of the Service;
- prevent unauthorized or unlawful activity;
- address a violation of these Terms;
- address nonpayment of amounts properly due;
- comply with legal requirements; or
- protect CrosswindFinance, its customers, or third parties from material harm.
CrosswindFinance may terminate an account for a material or repeated violation of these Terms.
Where reasonably practicable and appropriate, we will attempt to provide notice before terminating an account for reasons other than urgent security, fraud, abuse, or legal requirements.
Termination does not eliminate obligations incurred before termination.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
CROSSWINDFINANCE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY OTHERWISE ARISE BY LAW, COURSE OF DEALING, OR USAGE OF TRADE.
CROSSWINDFINANCE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT EVERY CALCULATION, IMPORT, CATEGORIZATION, REPORT, OR OTHER OUTPUT WILL BE ACCURATE OR COMPLETE.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CROSSWINDFINANCE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CROSSWINDFINANCE'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO CROSSWINDFINANCE FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- $100.
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF CROSSWINDFINANCE HAS BEEN ADVISED THAT A LOSS WAS POSSIBLE.
THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
22. Indemnification
To the extent permitted by applicable law, if you use CrosswindFinance on behalf of a business or other organization, that organization agrees to defend, indemnify, and hold harmless CrosswindFinance and its owners, operators, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable legal expenses arising from:
- the organization's unlawful use of the Service;
- Customer Data the organization was not authorized to provide or process;
- the organization's material violation of these Terms; or
- infringement or violation of a third party's rights caused by content or information supplied by the organization.
This section does not require indemnification for claims caused by CrosswindFinance's own unlawful conduct to the extent such indemnification would be prohibited by law.
23. Privacy
Use of the Service is also subject to the CrosswindFinance Privacy Policy.
The Privacy Policy explains how CrosswindFinance collects, uses, protects, and handles personal information.

24. Electronic Communications
By creating an account or using the Service, you agree that CrosswindFinance may provide notices and other communications electronically, including through the Service or by email.
Electronic notices may include account notices, security notices, service-related communications, subscription information, and legally required communications.
You are responsible for maintaining a valid email address associated with your account.
Nothing in this section authorizes marketing communications where consent or an opt-out opportunity is required by applicable law.
25. Changes to These Terms
CrosswindFinance may update these Terms from time to time to reflect changes to the Service, business practices, legal requirements, or other circumstances.
When the Terms are updated, the Effective Date at the top of this page will be revised.
If changes are material, CrosswindFinance may provide additional notice through the Service, by email, or by another reasonable method.
Your continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms where permitted by law.
Where applicable law requires affirmative consent to a change, CrosswindFinance will request that consent.
26. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any judicial proceeding arising from these Terms or the Service that is not otherwise subject to a separate valid dispute-resolution agreement will be brought in a court of competent jurisdiction in the State of Georgia, subject to applicable jurisdiction and venue requirements.
27. General Terms
If any provision of these Terms is determined to be unlawful or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
CrosswindFinance's failure to enforce a provision of these Terms does not waive its right to enforce that provision later.
You may not assign your rights under these Terms without CrosswindFinance's consent except where applicable law provides otherwise.
CrosswindFinance may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or transfer of the Service.
These Terms, together with the Privacy Policy and any applicable order form, subscription terms, or written agreement between you and CrosswindFinance, constitute the agreement governing your use of the Service.
If a separately executed written agreement expressly conflicts with these Terms, the separately executed agreement controls to the extent of that conflict.
